These Terms & Conditions govern access to and use of the website jjprintindia.com and the commercial dealings relating to printing, packaging, manufacturing and allied services offered by JJ Imprints Private Limited (“JJ Imprints”, “Company”, “we”, “our” or “us”). Our registered or principal business details, as applicable, are: JJ Imprints Private Limited A 24, Block A, Sector 68, Noida, Gautam Budh Nagar, Uttar Pradesh 201301, India Email: hello@jjprintindia.com Phone: +91 8799775262 By accessing this website, submitting an enquiry, requesting a quotation, approving artwork, issuing a purchase order or placing an order accepted by JJ Imprints, the customer (“Customer”, “you” or “your”) agrees to the applicable provisions of these Terms & Conditions. These terms are intended primarily for business customers, including publishers, manufacturers, distributors, corporate buyers, advertising agencies, educational institutions and other organisations procuring printing or packaging services.

Applicability and Order of Precedence

These Terms & Conditions apply by default to all enquiries, quotations, estimates, samples, purchase orders, job work, manufacturing orders, supplies and services undertaken by JJ Imprints, unless expressly varied by a separate written agreement signed by authorised representatives of both parties. A Customer’s purchase order, vendor registration document, procurement policy, standard terms or other unilateral document shall not, by itself, override these Terms & Conditions. Any deviation must be specifically identified and expressly accepted in writing by an authorised representative of JJ Imprints. Routine email correspondence, artwork approval, payment or commencement of production shall not automatically constitute acceptance of unrelated customer terms. In the event of inconsistency, the following order of precedence shall apply: 1. A separately signed agreement expressly varying the relevant provision. 2. A written quotation or order confirmation issued by JJ Imprints and expressly accepted by both parties, to the extent it specifically varies these terms. 3. These Terms & Conditions. 4. Other documents, subject to the express written acceptance requirements above. Nothing in this clause excludes mandatory statutory rights or overrides applicable law.

Nature of Business and Services

JJ Imprints provides printing, packaging and related manufacturing services, which may include:
● Books, magazines, catalogues, educational publications and children’s books.
● Board books, activity books, flashcards, puzzles, jigsaws and learning kits.
● Mono cartons, corrugated boxes, rigid boxes and customised packaging.
● Stickers, promotional materials, brochures, folders and marketing collateral.
● Printing, prepress, finishing, binding, assembly, prototyping and related services.
The availability of any particular service, material, process, certification or production capability is subject to confirmation for the specific project. Website descriptions, images, sample products and illustrations are indicative unless expressly incorporated into an accepted written specification.

Enquiries, Quotations and P

All quotations are based on the specifications, quantities, materials, artwork, finishing requirements, delivery location and commercial assumptions provided at the time of quotation. Unless otherwise stated in writing:
● Quotations are valid for 15 calendar days from the date of issue.
● Prices may be revised after expiry or if the underlying specifications, quantities, materials, paper rates, exchange rates, freight costs or applicable taxes change.
● Any minimum order quantity or minimum production charge specified in the quotation shall apply.
● GST and other applicable taxes, duties, freight, packing, tooling, plates, cylinders, dies, moulds, sampling and special handling shall be charged as specified in the quotation.
● Estimates are not binding production commitments until an order is accepted by JJ Imprints.
Any change in scope, specifications, quantity, design, material or delivery requirement may result in a revised quotation and delivery schedule.

Order Confirmation and Production Authorisation

An order shall be considered accepted when JJ Imprints confirms acceptance in writing or otherwise expressly confirms commencement of the relevant work. The Customer must provide complete and accurate specifications, approved artwork, technical drawings, packaging dimensions, material requirements, delivery instructions and other information necessary for production. Production may commence only after the required approvals, advance payment, credit clearance and other agreed preconditions have been satisfied. JJ Imprints may place an order on hold if essential information, approvals, payment or materials are outstanding. Any resulting schedule revision shall be communicated to the Customer.

Artwork, Files and Technical Specifications

The Customer is responsible for ensuring that supplied artwork and production files are complete, accurate and technically suitable for the intended manufacturing process. Files should meet the technical requirements communicated by JJ Imprints, including appropriate dimensions, bleed, resolution, colour mode, fonts, linked images, dielines, folding lines, safe areas and finishing specifications. A visual concept, reference image, flattened mock-up or incomplete design file may not contain sufficient information for manufacturing. Where necessary, editable artwork, separate panels, dielines, dimensions, material specifications and finishing instructions must be supplied. JJ Imprints may offer prepress assistance, artwork correction, design development, file conversion or technical consultation. These services may attract additional charges depending on complexity and the scope of work agreed. The Customer must review and approve all proofs, mock-ups, samples, dimensions, text, spelling, barcodes, colours, legal declarations and technical details before production.

Proof Approval and Customer Responsibility

Written approval by email or another agreed written communication shall constitute authorisation to proceed with the approved production version. The Customer is responsible for checking:
● Text, spelling, language, pagination and content.
● Artwork placement, dimensions, layout and orientation.
● Colour references and visual appearance.
● Barcode readability, regulatory declarations and product information.
● Dielines, folding, cutting, binding and assembly requirements.
● Any other specifications material to the finished product.
JJ Imprints shall not be responsible for errors that were present in customer-approved artwork or specifications, except to the extent caused by a separate manufacturing error attributable to JJ Imprints or otherwise required by law. Any revision after approval may require additional charges, new proofs, replacement materials and an extension of the delivery schedule.

Printing, Paper and Manufacturing Variations

Printing and packaging involve manufacturing processes in which minor variations may occur. Subject to the approved specification and applicable standards, reasonable variations may arise in:
● Colour reproduction between digital proofs, screen displays and final offset printing.
● Colour density, ink absorption, coating, lamination and surface appearance.
● Paper shade, texture, thickness, grain, finish and batch characteristics.
● Cutting, folding, creasing, binding, registration and finishing.
● Material properties, adhesive performance and packaging fit.
● Production quantities and process-related tolerances.
A digital proof is not necessarily an exact representation of final offset printing. Paper lots, printing methods, inks, coatings and finishing processes may affect the final appearance. Pantone or other colour references will be followed where expressly agreed and technically achievable. Exact screen-to-print matching or absolute uniformity between different production runs is not guaranteed unless specifically contracted. Any agreed tolerances, reference samples, inspection standards or acceptance criteria recorded in the quotation or technical specification shall take precedence over general descriptions in this section. A material deviation from the approved specification shall not be treated as an acceptable manufacturing variation merely because printing naturally involves tolerances.

Production Quantity and Wastage

Printing, die-cutting, binding and packaging processes may involve unavoidable setup waste and production variation. The quotation or written specification should identify the permitted quantity tolerance, if any, and whether the Customer will be charged for actual production, a fixed quantity or a specified range. No additional quantity tolerance or billing allowance shall apply unless stated in the accepted quotation or separately agreed in writing. Where a quantity tolerance is expressly agreed, the final quantity delivered and invoiced shall be determined in accordance with that agreement.

Customer-Supplied Materials and Property

Where the Customer supplies paper, boards, components, artwork, packaging materials, tools or other items, the Customer must ensure that such items are suitable for the intended production process and are supplied in the required quantity, condition and time. JJ Imprints shall exercise reasonable care over customer property in its possession. The Customer remains responsible for ownership rights, material specifications and any defects inherent in supplied materials. Any shortage, damage, delay, incompatibility or quality issue attributable to customer-supplied materials may affect production cost and delivery timelines. The parties should agree in writing on responsibility for transport, insurance, storage, wastage, unused materials and return or disposal of such materials.

Sampling, Prototypes and Tooling

Samples and prototypes are intended to validate agreed design, construction, material and finishing requirements. A sample produced using digital printing, different paper, substitute materials or a different manufacturing process may not precisely match the final production run. Sampling charges, tooling, plates, cylinders, dies, moulds and special setup charges shall be specified in the quotation where applicable. Ownership, retention, reuse and disposal of physical tools and production aids shall be governed by the accepted quotation or separate written agreement. Payment for tooling does not automatically transfer ownership of JJ Imprints’ pre-existing know-how, software, processes or reusable production systems.

Delivery, Dispatch and Timelines

Delivery timelines are estimates unless a specific date is expressly confirmed in writing as a binding commitment. Production schedules may be affected by late approvals, incomplete artwork, payment delays, material shortages, machine breakdowns, transport disruptions, regulatory restrictions, force majeure events or changes requested by the Customer. The Customer must provide accurate delivery details and ensure that the receiving location is accessible and authorised to accept the shipment. Responsibility for freight, insurance, loading, unloading, transit risk and delivery charges shall be determined by the accepted quotation or agreed delivery terms. Where dispatch is delayed because the Customer is unable or unwilling to accept delivery, JJ Imprints may charge reasonable additional storage, handling, redelivery or related costs, where permitted by law and supported by the applicable agreement.

Inspection, Acceptance and Complaints

The Customer should inspect delivered goods promptly and notify JJ Imprints in writing of any apparent shortage, damage or non-conformity within seven calendar days of delivery, unless a different period is agreed in writing. Latent defects that could not reasonably have been discovered during initial inspection should be reported promptly after discovery. A complaint should include the invoice or order reference, affected quantity, photographs where appropriate, a description of the issue and the relevant approved specification. The parties shall cooperate in investigating the complaint. Where necessary, representative samples may be retained or inspected to establish the cause. Where a defect attributable to JJ Imprints is established, the remedy shall be determined by the accepted agreement and applicable law and may include rework, replacement, correction or an appropriate credit or refund. No inspection period or acceptance provision shall extinguish non-waivable statutory rights or excuse fraud, wilful misconduct or liability that cannot lawfully be excluded.

Pricing, Invoicing and Payment

Payment terms shall be those specified in the accepted quotation or written order confirmation. Where no alternative payment schedule is expressly agreed in writing, invoices shall be payable within 15 calendar days of the invoice date. JJ Imprints may require an advance payment, milestone payment or full payment before dispatch depending on the order, materials, customer credit status and production requirements. The Customer shall pay all undisputed amounts by the agreed due date without unauthorised deductions, withholding or set-off, except where required by law or expressly agreed in writing. Any genuine invoice dispute must be raised promptly in writing with supporting details. The undisputed portion of the invoice shall remain payable by its due date. Applicable GST and other taxes shall be charged in accordance with law. The Customer shall provide valid tax deduction at source certificates and supporting documentation where applicable.

Late Payment and Statutory Interest

Overdue amounts may attract interest at 18% per annum, calculated from the applicable due date until payment, to the extent permitted by law and subject to any mandatory statutory interest regime that applies. Where JJ Imprints qualifies as a micro or small enterprise and the Micro, Small and Medium Enterprises Development Act, 2006 applies to the transaction, the statutory provisions governing payment periods, delayed payment interest and recovery shall prevail to the extent applicable. Nothing in this clause limits rights or remedies available under applicable MSME legislation or other mandatory law. JJ Imprints may suspend further production, dispatch or acceptance of new orders for material payment defaults, subject to applicable law and any binding contractual commitments.

Cancellation, Suspension and Changes

Orders involving customised printing, made-to-order packaging, dedicated materials, tooling or customer-specific production cannot ordinarily be cancelled without cost after work has commenced. If a Customer requests cancellation, suspension or a material change, JJ Imprints may invoice for work completed, materials procured, non-cancellable supplier commitments, tooling, setup, storage and reasonable cancellation costs, subject to the accepted agreement and applicable law. Any refund of an advance payment shall be calculated after accounting for amounts properly payable for work performed and costs incurred. No provision authorises retention of amounts that must legally be refunded. JJ Imprints may suspend an order for non-payment, missing approvals, unlawful content, safety concerns or other material breach, after giving notice where appropriate and legally required.

Intellectual Property and Customer Content

The Customer represents that it owns or is authorised to use all artwork, logos, text, images, fonts, trademarks, designs and other materials supplied for production. The Customer grants JJ Imprints a limited right to use such materials solely to quote, prepare, manufacture, quality-check and deliver the relevant order. The Customer shall be responsible for obtaining necessary permissions and licences for supplied content and for any third-party intellectual property claims arising from its instructions or materials, subject to applicable law. JJ Imprints retains ownership of its pre-existing intellectual property, proprietary processes, technical know-how, templates, manufacturing methods, standard designs, software and tools, except where expressly transferred under a written agreement. Ownership and permitted use of customer-specific commissioned designs shall be governed by the accepted quotation or a separate written agreement. Payment for printing or manufacturing alone does not automatically transfer all underlying intellectual property rights. Neither party may use the other party’s trademarks or confidential materials for publicity or marketing without appropriate authorisation.

Confidentiality

Each party shall take reasonable steps to protect confidential commercial, technical, financial and business information received from the other party. Confidential information shall be used only for the relevant business relationship and may be disclosed to employees, professional advisers, subcontractors or service providers who reasonably need access and are subject to appropriate confidentiality obligations. This obligation does not apply to information that is public through no breach, independently developed, lawfully received from another source or required to be disclosed by law.

Product Compliance and Customer Instructions

The Customer is responsible for providing accurate product specifications, intended use, destination market requirements, labelling instructions and regulatory requirements relevant to its product. Where products are intended for children, food contact, toys, educational use, export markets or other regulated applications, the parties must agree in writing on applicable materials, testing, certifications and compliance responsibilities. Any certification, test report or compliance statement shall apply only to the specific product, material, process and scope covered by the relevant documentation. No certification or regulatory compliance shall be assumed merely because it is mentioned generally on the website. JJ Imprints shall perform the agreed manufacturing scope in accordance with applicable requirements communicated and accepted for the order.

Warranty and Remedies

JJ Imprints shall use reasonable care and skill in performing the agreed services and shall manufacture goods in accordance with the accepted specifications, subject to agreed tolerances. The Customer shall provide written notice and reasonable evidence of any alleged non-conformity and allow a reasonable opportunity for investigation. Remedies shall be proportionate to the established defect and governed by the accepted agreement and applicable law. Except for express written warranties and rights that cannot lawfully be excluded, no general website statement creates an unlimited guarantee of suitability for every end use, uninterrupted availability or exact reproduction of a digital image.

Limitation of Liability

To the maximum extent permitted by law, neither party shall be liable to the other for indirect or consequential losses, including loss of anticipated profits, business opportunity, goodwill or production time, except to the extent such exclusion is prohibited by law or the loss arises from liability that cannot lawfully be excluded. Subject to mandatory law and the exceptions below, JJ Imprints’ aggregate liability arising from a particular order shall not exceed the amount paid or payable for the affected goods or services under that order. Nothing in this clause excludes or limits liability for fraud, wilful misconduct, death or personal injury where such limitation is prohibited, infringement liability that cannot lawfully be excluded, or other non-excludable statutory liability. This clause does not prevent a party from pursuing a remedy expressly provided under a signed agreement or mandatory law.

Force Majeure

Neither party shall be responsible for delay or failure caused by circumstances beyond its reasonable control, including natural disasters, fire, flood, epidemic, war, civil disturbance, government restrictions, transport disruption, utility failure, widespread labour disruption or significant supply-chain interruptions. The affected party shall notify the other party within a reasonable time and take reasonable steps to reduce the impact. Performance shall be suspended only to the extent affected by the event. The parties shall discuss revised timelines, alternative arrangements or cancellation where the disruption continues for an extended period. Amounts already due for goods supplied or work performed shall remain payable, subject to applicable law and the parties’ agreement.

Suspension and Termination

Either party may terminate an order or agreement for a material breach that remains unremedied after written notice and a reasonable opportunity to cure, unless immediate termination is justified by law or the nature of the breach. JJ Imprints may suspend work for material payment defaults, unlawful instructions, missing essential approvals or circumstances that make continued performance unsafe or unlawful. Upon termination, the Customer shall pay amounts properly due for completed work, committed materials and other recoverable costs under the agreement and applicable law. Any unused advance balance shall be reconciled and refunded where due.

Website Content and Availability

The website is provided for general information and business enquiries. While reasonable efforts are made to maintain accurate information, product images, specifications, prices, availability and descriptions may change. JJ Imprints does not guarantee uninterrupted website availability or that every item of website content is free from errors. This does not affect any binding written commitment made in an accepted quotation or agreement. Unauthorised copying, misuse, interference, attempted access to restricted systems or use of the website for unlawful purposes is prohibited.

Governing Law and Dispute Resolution

These Terms & Conditions and the relevant commercial dealings shall be governed by the laws of India. The parties shall first attempt to resolve commercial disputes through good-faith discussions between authorised representatives. Where a dispute cannot be resolved amicably, the competent courts at Gautam Budh Nagar, Uttar Pradesh, shall have jurisdiction, subject to applicable law and any valid dispute-resolution provision in a separately signed agreement. Nothing in this clause overrides mandatory statutory forums, remedies or jurisdiction.

Amendments

JJ Imprints may update these website Terms & Conditions from time to time. The current version and its effective date will be published on the website. Changes to website terms shall not retrospectively alter an existing accepted order unless agreed in writing or required by law.

Severability and Waiver

If any provision is held invalid or unenforceable, the remaining provisions shall continue to apply to the extent legally permissible. Failure to enforce a provision on one occasion shall not constitute a permanent waiver of that provision.
